Justin Fox

Of Counsel

After passing the Ohio Bar, I began my legal career with a clear focus on real estate and the entrepreneurs who drive Ohio’s economy. Today, I practice with Underhill & Hodge LLC, where I represent buyers, sellers, investors, developers, and farm operators in complex and high-value real estate transactions throughout Franklin/Licking County and surrounding counties across Ohio.

I work on both sides of sophisticated real estate deals, guiding clients through acquisitions, dispositions, financing, and risk management for assets ranging from industrial and commercial properties to large-acreage farmland and 1031 exchange transactions. My practice regularly involves multi-parcel transactions, development sites, income-producing properties, and agricultural land acquisitions where zoning, tax strategy, environmental considerations, and long-term operational needs must align.

Real estate has always been part of my life. I grew up in a family of entrepreneurs—my grandfather operated a Columbus business for more than 40 years, and my father began a real estate investment company in the 1980s. Seeing the opportunities and challenges that come with property ownership at an early age shaped my approach to the law and reinforced how critical sound legal guidance is to long-term success.

In addition to commercial and industrial real estate, I have a dedicated practice serving farm owners and farm operators, helping them navigate land purchases and sales, leasing arrangements, succession planning considerations, and 1031 exchanges involving agricultural property. I understand that farmland transactions are not just investments—they are often tied to family legacy, operational continuity, and generational planning.

Clients often come to me when a deal feels overwhelming or carries significant financial and operational risk. My role is to bring clarity to those moments—anticipating issues, structuring transactions efficiently, and advocating for my clients’ best interests from contract through closing and beyond. Whether advising on financing structures, resolving title or survey issues, or coordinating complex closings, I focus on protecting value while keeping transactions moving forward.

What I enjoy most about my work is building long-term relationships. I take the time to understand my clients’ goals—both immediate and future—and I pride myself on being accessible, communicative, and practical in my advice. Watching clients grow, expand, and succeed through smart real estate decisions is the most rewarding part of my practice.

At Underhill & Hodge LLC, I am proud to support investors, businesses, and agricultural operators with the legal insight they need to move confidently in today’s real estate market. I look forward to continuing to serve clients across Ohio on the transactions that shape their businesses, livelihoods, and legacies.
